Marketplace agreement for maintainers

Status: 10 October 2026 · Version 2026-10-10

This English text is a courtesy translation. Only the German version is legally binding.

This agreement governs the participation of teams ("Maintainers") in the froxlor Marketplace at packages.froxlor.org (the "Marketplace"). The Marketplace is operated by froxlor GmbH, Wilhelm-Busch-Str. 54, 60431 Frankfurt am Main, Germany ("froxlor").

§ 1 Scope, business customers only

  1. The Marketplace is open exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB) acting in the exercise of their commercial or self-employed activity. By creating a team the Maintainer confirms to be an entrepreneur and to be authorised to accept this agreement for themselves and all team members.
  2. Conflicting or deviating terms of the Maintainer do not apply.

§ 2 Review and approval of teams

  1. Every newly created team is reviewed by froxlor administrators before it may publish packages or plugins. There is no entitlement to approval.
  2. froxlor may reject or suspend teams or prohibit the publication of individual packages at any time, in particular in case of breaches of this agreement, infringements of rights, security risks or false information.
  3. The "verified by froxlor" mark merely confirms that froxlor has verified the identity or the information provided by the team. It is neither a quality, security or functional review of the packages nor a recommendation or guarantee.

§ 3 Sales in your own name

  1. The Maintainer offers their packages and plugins in their own name and for their own account. Purchase and licence agreements for packages are concluded exclusively between the Maintainer and the respective customer. froxlor is not a party to these agreements and merely provides the technical platform and payment processing.
  2. The Maintainer is solely responsible for complying with all rules applicable to the sale, in particular provider identification, consumer and withdrawal rights, price indication, licence and usage terms towards customers, invoicing and data protection.
  3. The Maintainer consents to the publication of their name or company name, address, contact email address and – where available – VAT ID as seller information on the product pages of their paid packages and keeps this information up to date. The Maintainer is identified towards the customer as an entrepreneur.
  4. The Maintainer ensures that they hold all rights required for the offered packages and that these do not infringe third-party rights.

§ 4 Responsibility for packages and plugins

  1. Responsibility for content, up-to-dateness, functionality, security, compatibility with froxlor versions, further development, bug fixing and support of the packages and plugins lies solely with the Maintainer.
  2. froxlor does not review packages with regard to their content and gives no warranty for their up-to-dateness, functionality or security. Packages must not contain malware, hidden functions or unlawful content.
  3. The Maintainer indemnifies froxlor against claims of third parties (including customers) that are based on their packages, their offers or their breach of this agreement, including reasonable legal defence costs.
  4. froxlor may temporarily or permanently remove packages from the Marketplace in case of a justified suspicion of legal infringements or security problems.

§ 5 Prices, commission, payment processing

  1. The Maintainer sets the prices and licence models of their packages.
  2. For every sale processed via the Marketplace froxlor receives a commission amounting to the percentage of the gross amount shown in the backend. The commission is retained upon payout.
  3. Payments are processed by the payment service provider Stripe. In addition, Stripe's terms apply, which the Maintainer accepts when setting up the payout account.
  4. Refunds, chargebacks and payment defaults are borne by the Maintainer. froxlor is entitled to offset corresponding amounts against payout claims.

§ 6 No liability for revenue, availability and business performance

  1. froxlor gives no warranty for any particular turnover, sales or profit. There is no entitlement to revenue or to a certain placement or visibility of packages.
  2. The Marketplace is operated without any assurance of a particular availability. Outages, maintenance, changes or the discontinuation of the Marketplace do not give rise to any claims of the Maintainer.

§ 7 Tax information, VAT ID verification

  1. The Maintainer is solely responsible for fulfilling their tax obligations (in particular value added tax and income/corporate taxes). froxlor does not provide tax advice.
  2. The Maintainer provides complete and correct information on their person or company, address and – where available – VAT identification number (VAT ID) and tax number, and keeps it up to date.
  3. The Maintainer undertakes to disclose their VAT ID or tax number upon froxlor's request and consents to froxlor verifying this information, in particular via the EU VAT Information Exchange System (VIES) or the German Federal Central Tax Office (Bundeszentralamt für Steuern).
  4. froxlor may make reports to authorities as required by law (e.g. under the German Platform Tax Transparency Act) and may process and transmit the Maintainer's data required for this purpose.
  5. As long as the information is incomplete or the verification is not completed, froxlor may withhold the sale of paid packages and payouts.

§ 8 Identity verification (KYC) and payouts

  1. An identity verification (Know Your Customer, KYC) is carried out before the first payout. For this purpose, in particular identity documents, commercial register extracts, information on beneficial owners and bank details may be requested. The verification is carried out by froxlor and/or by the payment service provider Stripe engaged by froxlor.
  2. The Maintainer consents to this verification and the processing of their data required for it and cooperates completely and truthfully.
  3. Paid packages can only be sold and payouts can only be made once the identity verification has been completed successfully. froxlor may withhold payouts in case of a justified suspicion of abuse or money laundering or in case of lack of cooperation.
  4. Payouts are made to the account provided during setup after deduction of the commission and any refunds.

§ 9 Liability

  1. froxlor is liable without limitation in case of intent and gross negligence, in case of injury to life, body or health, under the German Product Liability Act and where a guarantee has been given.
  2. In case of slightly negligent breach of essential contractual obligations (obligations whose fulfilment is a prerequisite for the proper performance of the contract and on whose observance the Maintainer may regularly rely), liability is limited to the foreseeable damage typical for this type of contract.
  3. Otherwise, froxlor's liability is excluded. This applies in particular to lost profits, loss of revenue, missed sales, loss of data, consequential damages and damages resulting from the suspension of a team or the removal of a package.
  4. The Maintainer's liability towards froxlor is governed by the statutory provisions.

§ 10 Term, termination, suspension

  1. This agreement is concluded for an indefinite period. The Maintainer may terminate it at any time by deleting their team or by notice in text form; froxlor may terminate it with four weeks' notice.
  2. The right to extraordinary termination and to immediate suspension for good cause remains unaffected.
  3. The Maintainer remains responsible towards their customers for licences already sold. After termination froxlor may deactivate packages; completed sales and payout claims remain unaffected.

§ 11 Changes to this agreement

froxlor may amend this agreement with effect for the future. The Maintainer will be informed of changes in text form and must accept the amended version in order to create new packages and to sell paid packages. If the Maintainer does not accept, they may terminate the agreement in accordance with § 10.

§ 12 Data protection

Information on the processing of personal data can be found in froxlor's privacy policy, in particular on identity verification (KYC). Where Stripe processes data for identity verification and payment processing, it does so under its own responsibility in accordance with Stripe's terms.

§ 13 Final provisions

  1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. To the extent permitted by law, the exclusive place of jurisdiction is Frankfurt am Main.
  3. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
  4. This agreement is also available in English. Only the German version is legally binding; the English version serves for convenience only.
